These terms apply to bookkeeping services provided by [LEGAL BUSINESS NAME] (ABN [ABN]), trading as Upside Account. Where we give you a written engagement letter or proposal, that document takes precedence over these terms if the two conflict.
1. Our services
We provide bookkeeping, reconciliation, reporting and related services as set out in your written proposal. As a registered BAS agent ([BAS AGENT NUMBER]) we may prepare and lodge BAS on your behalf where your proposal includes it.
We are not tax agents, financial advisers, or auditors. We do not provide tax advice, investment advice, or an audit opinion. [TODO(owner): confirm — adjust if your registration covers more.]
2. Fees and payment
- Fees are as quoted in your written proposal. All prices are in AUD and exclude GST unless stated.
- The monthly fee is fixed for the scope quoted. Work outside that scope is quoted separately before we start it.
- Catch-up or clean-up work is quoted as a separate one-off project before your monthly plan begins.

3. Term and cancellation
Plans are month-to-month. Either party may cancel with [30] days' written notice. On cancellation:
- You keep your accounting file and your software subscriptions — they are yours, not ours.
- We will complete work up to the end of the notice period and hand over cleanly.
- Fees for the notice period remain payable.

4. Your responsibilities
The quality of your books depends on the quality of what reaches us. You agree to provide records, receipts, and access in a timely way, and to tell us if anything you have given us is incomplete or wrong. We rely on the information you provide and are not responsible for consequences arising from information that is inaccurate, incomplete, or provided late.
5. Confidentiality and privacy
We keep your business information confidential and handle personal information in line with our Privacy Policy. We disclose information only where you have asked us to, or where the law requires it.
6. Liability
Nothing in these terms excludes rights you have under the Australian Consumer Law. Where we are permitted to limit our liability, our total liability to you is limited to [TODO(owner): e.g. the fees paid by you in the 12 months preceding the claim]. We are not liable for indirect or consequential loss, including loss of profit.
7. Changes to these terms
We may update these terms. If a change materially affects you, we will give you notice before it takes effect.
